These terms govern your use of PalmRoute's AI automation platform and services. Please read them carefully before using our Services.
These Terms of Service ("Terms") constitute a legally binding agreement between you (or the business you represent, "Customer") and PalmRoute LLC, a Florida limited liability company ("PalmRoute," "we," "us," or "our"), governing your access to and use of the PalmRoute platform, AI phone assistant, automated workflow tools, and all related services (collectively, the "Services").
By clicking "I Agree," signing an Order Form, creating an account, or otherwise accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not access or use the Services.
We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email. Your continued use of the Services after such changes constitutes acceptance of the revised Terms.
PalmRoute provides a software-as-a-service (SaaS) platform offering, among other things:
The specific features and capabilities available to you depend on your subscription plan. PalmRoute reserves the right to modify, discontinue, or add features at any time with reasonable notice.
To use the Services, you must create an account and provide accurate, complete, and current information. You are responsible for:
You may not share your account credentials or allow multiple businesses to use a single account. PalmRoute reserves the right to suspend or terminate accounts that appear to be shared or used fraudulently.
You must be at least 18 years of age and have the legal authority to enter into contracts on behalf of your business to create an account.
PalmRoute charges monthly or annual subscription fees based on your selected plan. Fees are billed in advance at the beginning of each billing cycle. All fees are stated in U.S. dollars and are exclusive of applicable taxes.
You authorize PalmRoute to charge your designated payment method for all applicable fees. You are responsible for keeping your payment information current. Failed payments may result in service interruption after a 5-day grace period with email notification.
Some plans include call volume limits. If you exceed the call limit in your plan, overage charges of $0.10 per additional call may apply. We will notify you when you reach 80% of your monthly limit.
PalmRoute offers a 30-day money-back guarantee for new customers. If you are not satisfied with the Services within the first 30 days, contact us at billing@palmroute.com for a full refund. After the 30-day period, all fees are non-refundable except as required by applicable law. Annual subscriptions are not prorated upon early cancellation after the 30-day period.
We reserve the right to modify pricing with at least 60 days' advance written notice. Price changes will take effect at your next billing cycle renewal after the notice period.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You must NOT:
You are responsible for ensuring that your use of the AI phone assistant complies with all applicable call recording notification laws in your jurisdiction. In jurisdictions requiring two-party consent for call recording, you are responsible for ensuring callers are notified. PalmRoute provides a standard disclosure at the start of all AI-handled calls, but you must verify this satisfies your local requirements.
PalmRoute and its licensors own all right, title, and interest in and to the Services, including all software, AI models, algorithms, interfaces, documentation, trademarks, and all related intellectual property. These Terms do not grant you any ownership rights — only a limited, non-exclusive, non-transferable license to use the Services as described herein during your subscription term.
You retain all ownership of the business data, call recordings, client information, and other content you provide to or generate through the Services ("Customer Data"). You grant PalmRoute a limited, worldwide license to process, store, and use Customer Data solely to provide the Services to you and as described in our Privacy Policy.
If you provide us with feedback, suggestions, or ideas about the Services, you grant PalmRoute a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without obligation to you.
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to our data practices as described in that policy.
If you are a healthcare provider or otherwise subject to HIPAA, you must execute a Business Associate Agreement (BAA) with PalmRoute before using the Services to process Protected Health Information (PHI). Contact hipaa@palmroute.com to request a BAA. See our HIPAA Compliance page for details.
You represent and warrant that you have obtained all necessary consents and have the legal right to provide any customer or client data to PalmRoute for processing through the Services.
Each party agrees to maintain the confidentiality of the other party's non-public, proprietary information disclosed in connection with the Services ("Confidential Information"). Neither party will disclose the other's Confidential Information to third parties without prior written consent, and each party will use the other's Confidential Information only for purposes of fulfilling its obligations under these Terms.
Confidential Information does not include information that: (a) is or becomes publicly known through no breach of this agreement; (b) was already known to the receiving party; (c) is received from a third party without restriction; or (d) is independently developed without use of the disclosing party's Confidential Information.
PalmRoute does not warrant that: (a) the Services will be uninterrupted, error-free, or fully secure; (b) any defects will be corrected; (c) the AI system will accurately handle all calls or produce specific booking outcomes; or (d) the Services will meet your specific business requirements.
The AI phone assistant is a tool designed to assist with call handling. It may occasionally make errors, misunderstand callers, or fail to complete interactions. PalmRoute does not guarantee any specific booking rates, revenue increases, or business outcomes as a result of using the Services.
IN NO EVENT SHALL PALMROUTE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS OPPORTUNITY, LOSS OF DATA, OR BUSINESS INTERRUPTION, EVEN IF PALMROUTE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless PalmRoute and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:
You may cancel your subscription at any time through your account settings or by contacting billing@palmroute.com. Cancellation takes effect at the end of your current billing cycle. You will retain access to the Services until that date.
PalmRoute may suspend or terminate your account with or without notice if: (a) you violate these Terms; (b) your payment fails and is not resolved within 10 days; (c) we are required to do so by law or a governmental body; or (d) we determine that continued provision of Services would create legal or reputational risk.
Upon termination, your right to use the Services ceases immediately. We will provide you with a 30-day window to export your Customer Data. After that period, we may delete your data in accordance with our Privacy Policy. Sections 6, 8, 9, 10, 11, 13, and 14 survive termination.
Before filing any formal legal proceeding, you agree to first attempt to resolve any dispute informally by contacting us at legal@palmroute.com. We will attempt to resolve the dispute within 30 days.
If informal resolution fails, any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, rather than in court. The arbitration shall take place in Miami, Florida, or via video conference.
You and PalmRoute each waive any right to bring disputes as a class action, collective action, or representative proceeding. Arbitration shall be conducted on an individual basis only.
Either party may seek emergency injunctive or equitable relief in any court of competent jurisdiction to prevent irreparable harm pending arbitration. Claims for amounts under $10,000 may be brought in small claims court.
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law provisions. To the extent any dispute is not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida.
